1. Acceptance of Terms

By accessing or using FurtherTV (the “Service”), operated by Cellmobs, Inc., you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Service.

2. Description of Service

FurtherTV is a B2B/B2C media marketplace platform for FAST (Free Ad-Supported TV) channels. The platform enables content partners to acquire, manage, and distribute video content to streaming providers. Services include content management, metadata editing, media file storage, distribution channel management, and revenue reporting.

3. Account Registration

To use the Service, you must:

  • Create an account with accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Be at least 18 years of age

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these terms.

4. Content Ownership and Licensing

Your Content

You retain ownership of all content you upload to the Service. By uploading content, you grant FurtherTV a non-exclusive, worldwide license to store, process, and distribute your content as directed by you through the platform's distribution features.

Licensed Content

Content acquired through the marketplace is subject to the licensing terms agreed upon between the content owner and the licensee. FurtherTV facilitates but does not control these licensing arrangements.

Prohibited Content

You may not upload content that:

  • Infringes on intellectual property rights of others
  • Contains illegal, harmful, or offensive material
  • Violates any applicable laws or regulations
  • Contains malware or harmful code

5. Distribution and Delivery

When you create deliveries or avails through the Service, you authorize FurtherTV to transmit your content and metadata to the designated distribution partners. You are responsible for ensuring you have the necessary rights to distribute the content to each platform.

6. Payment and Billing

Certain features of the Service require a paid subscription. By subscribing, you agree to pay all applicable fees. Fees are billed according to your subscription plan and are non-refundable except as required by law. We may change pricing with 30 days' notice.

7. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Cellmobs, Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CELLMOBS, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

9. Indemnification

You agree to indemnify and hold harmless Cellmobs, Inc. from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these terms.

10. Termination

We may suspend or terminate your access to the Service at any time for violation of these terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive.

11. Modifications

We reserve the right to modify these Terms of Use at any time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance.

12. Governing Law

These terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.
